Terms of Service

These Terms of Service ("Terms") govern your access to and use of Oryn, including the Oryn mobile applications, websites, web applications, and related services (collectively, the "Service").

For purposes of these Terms, "Oryn Websites" means Oryn-operated websites and web applications through which the Service is offered or sold directly to users, including orynapp.ai, app.orynapp.ai, quiz.get-oryn.com, and other Oryn-operated websites that may be introduced from time to time.

Oryn is developed and its software and related intellectual property are owned by ALLIE LTD, a company incorporated in Cyprus ("ALLIE"). Oryn is commercially operated and distributed by EL Licensing, LLC, a Florida limited liability company that uses the public business name App Talks ("EL Licensing"), under license from ALLIE LTD.

For subscriptions and other purchases made directly through the Oryn Websites, EL Licensing, LLC is the seller and contracting entity responsible for billing, subscription administration, cancellations, refunds where applicable, and customer support.

References in these Terms to "Oryn", "we", "us", or "our" refer to EL Licensing, LLC in connection with the commercial operation of the Service, except where these Terms expressly refer to ALLIE LTD as the developer, owner, or licensor of intellectual property.

1. Our Services

1.1. Oryn is a men's wellness and training service that may provide guided training programs, exercises, educational and wellness content, progress-tracking features, personalized recommendations, and access to an AI-powered Coach.

1.2. You acknowledge that you are communicating with software. The AI-powered features may produce inaccurate, incomplete, or inappropriate responses. You should use your own judgment when relying on information provided by the Service. The limitations and disclaimers applicable to the Service are described in these Terms.

1.3. If you believe the Service's responses are offensive, you can report this by emailing us at support@orynapp.ai. After receiving your report, you will be notified via email that your report is under review.

1.4. You acknowledge that the communication via the AI coach belongs to software.

1.5. Oryn is not a provider of healthcare or medical services, nor does it offer medical care, mental health services, or any other professional services. Only your doctor, therapist, or other qualified specialists can provide such care. ORYN MAKES NO CLAIMS, REPRESENTATIONS, WARRANTIES, OR GUARANTEES THAT THE SERVICE PROVIDES THERAPEUTIC, MEDICAL, OR OTHER PROFESSIONAL HELP.

1.6. Please do not use our Service in emergency situations. If you believe you are experiencing a medical or mental health emergency, please call an ambulance or contact a doctor or therapist immediately. We are not liable for any mental health disorders, suicidal tendencies, or any other health-related issues of users.

2. Use of Service

2.1. You may use our mobile applications or Oryn Websites globally (except in regions where usage is restricted by authorities and/or Oryn), but you must comply with the laws of the country in which you use the Service. You are solely responsible for ensuring that your use of the Service complies with the relevant laws.

2.2. By using the Service, you confirm that you are at least 18 years old (or the age of majority in each jurisdiction where you access the Service) and that the information you provide is accurate, complete, and up to date. Providing inaccurate, incomplete, or outdated information may result in the immediate termination of your account.

2.3. By using the Service, you represent and warrant that you have the right, authority, and capacity to enter into these Terms and will abide by them. You may not authorize others to use your account, nor can you assign or transfer your account to any other person or entity. You agree to notify the Service immediately of any unauthorized use of your password or account or any security breach.

2.4. Content or materials you submit to the Service, including messages sent to the AI-powered Coach ("User Content"), must not violate any applicable laws or regulations, encourage such violations, or infringe on the rights of third parties, including intellectual property and privacy rights.

2.5. To access our Service via your smartphone or other device, your device must meet certain system requirements. These can be found on the Oryn Websites, in the Apple App Store, or on Google Play.

2.6. Registration Obligations. You may be required to fill out a registration form to access certain features of the Services. If you choose to register, you agree to provide and maintain true, accurate, current, and complete information as prompted by the registration form. Registration data and other personal information are subject to our Privacy Policy.

2.7. It is your responsibility to keep your password confidential and to ensure that your account is used securely and responsibly.

3. Account Registration and Sign-In

You can create an account and sign in to Oryn using your email address, your Google account, or your Apple ID (Sign in with Apple). When you choose to sign in through Google or Apple, you authorize that provider to share certain account information with us — typically your name and email address — solely to create and authenticate your Oryn account. We do not post to your Google or Apple account, and we do not access your contacts, posts, or other content held by those providers. Your use of Google or Apple sign-in is also subject to the respective provider's terms of service and privacy policy. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.

4. Services Management

We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any User Content or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, to remove from the Services or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

5. Subscriptions

5.1. Plans, Billing, and Renewal

Oryn offers paid subscription plans.

The specific subscription period, price, currency, included features, billing period, and any applicable promotional conditions will be clearly displayed to you before you complete your purchase.

By purchasing a subscription, you agree to the price and billing terms displayed to you at the time of purchase.

Unless otherwise stated at checkout, subscriptions automatically renew at the end of each applicable billing period until canceled.

By purchasing a subscription, you authorize the applicable seller or payment provider to charge your selected payment method for the subscription price and any applicable taxes at each renewal.

The renewal price and billing frequency applicable to your subscription will be disclosed to you before purchase.

5.2. Direct Purchases Through Oryn Websites

Subscriptions and other purchases made directly through the Oryn Websites, including:

are sold by EL Licensing, LLC.

EL Licensing, LLC is the contracting entity responsible for billing, subscription administration, cancellations, refunds where applicable, and customer support relating to these purchases.

Payments may be processed by third-party payment service providers, including Stripe.

The specific subscription plan, price, currency, billing period, renewal terms, and any promotional conditions applicable to your purchase will be displayed to you before you complete the transaction.

5.3. Third-Party Marketplace Purchases

If you purchase an Oryn subscription through the Apple App Store, Google Play, or another third-party marketplace, your purchase may also be subject to the payment, renewal, cancellation, and refund terms of that marketplace.

Subscriptions purchased through a third-party marketplace generally must be managed and canceled through that marketplace.

The seller, merchant, or payment processor associated with a third-party marketplace transaction may differ from the seller for purchases made directly through the Oryn Websites.

Nothing in these Terms is intended to override any mandatory terms or consumer rights provided by the applicable marketplace or applicable law.

5.4. Cancellation

You may cancel your subscription at any time.

For subscriptions purchased directly through an Oryn Website, you may cancel using the cancellation functionality made available through the Service or by contacting support@orynapp.ai.

For subscriptions purchased through the Apple App Store, Google Play, or another third-party marketplace, cancellation generally must be completed through the applicable marketplace.

Unless otherwise required by applicable law, cancellation takes effect at the end of your current paid subscription period.

You will retain access to the paid features until the end of that period and will not be charged for subsequent renewal periods.

Cancellation of a subscription does not automatically entitle you to a refund for amounts already paid. Refund eligibility is governed by the Refund / Money-Back Guarantee section of these Terms and applicable law.

5.5. Price Changes

We may change subscription prices from time to time.

Any price change applicable to an existing renewing subscription will be communicated or displayed as required by applicable law and will take effect no earlier than the next applicable renewal period.

Where required by applicable law or the applicable payment platform, we will obtain any required consent before applying a price change.

5.6. Failed Payments

If a payment cannot be successfully processed, we or our payment provider may attempt to process the payment again where permitted.

Access to paid features may be suspended or terminated if payment remains unsuccessful.

6. Money-Back Guarantee

For purchases made directly through an Oryn Website, any voluntary refund or money-back guarantee described in this Section is offered and administered by EL Licensing, LLC.

6.1. Money-Back Guarantee Rules

In addition to refund rights available under applicable laws, if you made a purchase directly through an Oryn Website and the money-back option was presented to you during checkout, you are eligible to receive a refund provided that all of the following conditions are met.

• You contact us via email support@orynapp.ai within 30 days after your initial purchase and before the end of your subscription period; and
• You are able to demonstrate that you have actually followed the plan by providing screenshots from the platform.

Important Statement

Please note that only fulfillment of all the above requirements allows you to receive a full Voluntary Refund under the "Money-back guarantee". For the sake of clarity, this "Money-back guarantee" does not apply to the following cases:

• Personal reasons (you don't like the product, it did not meet your expectations etc.);
• Financial reasons (you did not expect that you would be charged, that the subscription would automatically renew, or that the Service is paid, etc.).

6.2. General Refund Rules

Generally, if you do not meet the conditions set out above, the fees you have paid are non-refundable and/or non-exchangeable, unless otherwise stated herein or is required by applicable law.

For purchases made through the Apple App Store, Google Play, or another third-party marketplace, refund requests may be subject to and administered under the applicable marketplace's refund policies.

Note for EU residents: If you are an EU resident, applicable law may provide a right to withdraw from an eligible online purchase within fourteen (14) days without giving a reason. For digital content or services supplied during that period, any exception based on immediate performance applies only where the checkout separately requests and records any prior express consent and acknowledgment required by applicable law and the required confirmation is provided. These Terms alone do not constitute that consent or acknowledgment. If the checkout does not present and record the required choice, your statutory withdrawal rights remain unaffected.

7. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Services, you agree not to:

• Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
• Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
• Circumvent, disable, or otherwise interfere with security-related features of the Services.
• Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Services.
• Use any information obtained from the Services in order to harass, abuse, or harm another person.
• Make improper use of our support services or submit false reports of abuse or misconduct.
• Use the Services in a manner inconsistent with any applicable laws or regulations.
• Engage in unauthorized framing of or linking to the Services.
• Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material that interferes with any party's uninterrupted use and enjoyment of the Services.
• Engage in any automated use of the system, such as using scripts to send comments or messages.
• Delete the copyright or other proprietary rights notice from any Content.
• Attempt to impersonate another user or person or use the username of another user.
• Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services.
• Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Services to you.
• Attempt to bypass any measures of the Services designed to prevent or restrict access to the Services.
• Use the Services as part of any effort to compete with us or otherwise use the Services and/or the Content for any revenue-generating endeavor or commercial enterprise.

8. Intellectual Property

The Oryn software, mobile applications, website content, designs, functionality, trademarks, graphics, and other intellectual property associated with the Service are owned by or licensed to ALLIE LTD except where otherwise indicated.

EL Licensing, LLC commercially operates and distributes the Service under license from ALLIE LTD.

Your purchase of or access to Oryn does not transfer ownership of the Service or any associated intellectual property to you.

Subject to these Terms, users receive only a limited, personal, non-exclusive, non-transferable, and revocable right to access and use the Service for its intended purposes.

The intellectual property associated with the Service is protected by copyright, trademark, and other applicable laws and treaties in the United States and around the world.

9. Privacy Policy

We care about data privacy and security. Please review our Privacy Policy, which explains how personal information is collected, used, disclosed, and otherwise processed in connection with the Service. Where applicable law requires consent for a specific processing activity, consent will be requested separately.

10. Term and Termination

These Legal Terms shall remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICES OR DELETE YOUR ACCOUNT AND ANY USER CONTENT OR INFORMATION THAT YOU SUBMITTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

11. Governing Law

To the extent permitted by applicable law, these Terms and the commercial operation of the Service by EL Licensing, LLC are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law principles.

Nothing in these Terms limits any mandatory consumer protection rights that apply to you under the laws of your country, state, or jurisdiction of residence.

Any dispute relating to a purchase made directly through an Oryn Website shall be subject to the jurisdiction of the competent courts located in Florida, United States, except where applicable consumer protection laws permit or require proceedings to be brought in another jurisdiction.

Purchases made through the Apple App Store, Google Play, or another third-party marketplace may also be subject to additional marketplace terms and applicable mandatory laws.

12. Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.

13. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your User Content; (2) use of the Services; (3) breach of these Legal Terms; (4) any breach of your representations and warranties set forth in these Legal Terms; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Services with whom you connected via the Services.

14. Miscellaneous

These Legal Terms and any policies or operating rules posted by us on the Services or in respect to the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions.
